(a) first try and resolve the matter, ensuring that the player is informed o f the player's right to refer the dispute to the Director; and (b) if the player and the Operator cannot resolve the dispute satisfactorily within 24 hours of the dispute arising, refer the dispute to the Director for resolution; and (c) accept the Director's decision as final and binding. Once the Director's decision has been made and notified to the Operator, the issue in dispute will be deemed not to be in dispute. 4.11 Minister may require compliance with national arrangements, competition law or Commonwealth Gaming Legislation If at any time during the licence term, a national arrangement or competition law, or Commonwealth Gaming Legislation, results or would result directly or indirectly in any aspect of the conduct o f the Operator's business under the licence, or any term or condition of this agreement, being or becoming unlawful or contrary to the national arrangement or to competition law or Commonwealth Gaming Legislation, the Minister may by notice in writing to the Operator: (a) require the Operator forthwith to discontinue that aspect of its business, or to change the conduct of its business; or (b) require the Operator to enter into a further agreement with the Minister to amend this agreement; so that it is not unlawful or contJary to the national arrangement or competition law or Commonwealth Gaming Legislation, and the Operator must comply with the notice. 4.12 Disclaimer The Operator acknowledges that: (a) The Minister makes no representations or warranties as to the profitability, success or otherwise of the operations conducted under the licence; (b) The Minister disclaims all liability for all claims, expenses, losses, damages and costs the Operator may incur as a result of the operations conducted under the licence. 4.13 Indemnity for gaming business The Operator indemnifies and agrees to keep indemnified the Territory and the Minister, its agents, contractors, invitees, consultants or employees from all liabilities, actions, claims, losses and expenses arising under any statute at common law or otherwise in respect o f damage or injury to property (real or personal) or persons that the Territory or the Minister its agents, contractors, invitees, consultants or employees may sustain or incur as a result, whether directly or indirectly, of anything in relation to the Operator's internet gaming business.
