18 (e) Notwithstanding any other disputes, arbitration, mediation or similar clauses elsewhere in this Contract disputes in relation to GST matters shall be determined under this clause. If the parties are unable to agree upon the calculation of any Adjustment any party may by written notice to the other, require the calculation of that Adjustment to be referred to an Expert for determination. For the purposes o f a disputed under this clause, the Expert shall be appointed by the Chairman of the Northern Territory Sub Branch for the time being o f the Institute of Chartered Accountants of Australia. The parties will pay the cost of the Expert in equal shares. 5. INTERNET GAMING LICENCE 5.1 Extension of licence The Minister will extend the term of the internet gaming licence to 30 June 2018, contemporaneously with the execution of this agreement. 5.2 Scope and conditions The extended licence will authorise the Operator to continue to conduct an internet gaming business in or from the Southern Division in accordance with the terms and conditions specified in the internet gaming licence and in this agreement. Without limiting that provision, the licence will be extended on condition that: (a) the Operator has continued to comply with the terms and conditions of/the Internet Gaming Agreement and has received any necessary approvals relating to the New Structure, required under this agreement and the Control Act; and (b) if approvals required under paragraph 5.2(a) are not granted within 12 months after the effective date, the Minister may cancel the licence and terminate this agreement. 5.3 Licence term The licence will remain in force for the term of this agreement or until, surrendered or cancelled in Accordance with the Control Act or this agreement whichever is the sooner. 6. CANCELLATION, SUSPENSION AND VARIATION OF LICENCE AND ENFORCEMENT OF SECURITIES 6.1 No compensation No compensation or damages shall be payable by the Territory, the Minister or any Northern Territory regulatory authority if: (a) the licence is cancelled, suspended or varied by the Minister under the Control Act by reason of the Operator being in default under this agreement; or (b) any condition of this agreement and the licence, including without limitati on clause 4.11, operates at any time to restrict or diminish the extent of the Operator's internet gaming business.
