27 11.3 11.4 11.5 11.6 11.7 The Director may, at any time, require the Operator (at the Operator's expense) to investigate the continued suitability o f Agents and their business and executive associates to undertake the role o f Agent or maintain the association. ' H Agency Agreement For the purposes of this clause, 'Agency Agreement' means an agreement between the Operator and another person that must: (a) appoint the other person as an Agent; (b) outline the Agent's authority; (c) outline the terms and conditions of the Agent's appointment and in particular that the Agent must comply with the terms and conditions o f this agreement and any relevant direction given by the Director, to the Operator under the Control Act\ (d) state the Agent's place of operation; (e) include any provision required by the Director where the Director believes that the inclusion of the provision is necessary to ensure that the integrity of internet gaming is not jeopardised and that the public interest is not affected in an adverse and material way; and (f) deal with any other matter agreed between the Agent and the Operator. Notice to the Director The Operator must give to the Director: (a) within 5 business days after entering into an Agency Agreement, a copy o f the Agency Agreement; I (b) if an Agency Agreement is terminated, written notification of the termination within 5 business days; and (c) a listing of the Operator's current Agents every six months. Amendment of Agency Agreement An Agency Agreement may only be amended with the written approval o f the Director which may be withheld only where it is necessary to do so in the public interest or to protect the integrity of internet gaming. Grounds for termination Each of the following is a ground for the Director directing the Operator to terminate an Agency Agreement: (a) if in the Director's opinion the Agent is not, or is no longer, a suitable person to be an Agent having regard to: Investigations DRWDOCS\CC)ULTSI\26019.13
